These terms govern sales of surplus office equipment and furniture by Thompson Surplus to business buyers.

1. Scope & business-to-business use
These Terms of Sale (“Terms”) apply to all quotes, order confirmations, and sales of goods by Alexucia Thompson, doing business as Thompson Surplus (“Seller”), to the purchasing business (“Buyer”). Our products are sold exclusively to businesses, resellers, and organizations for commercial use, not to consumers. By placing an order, Buyer confirms it is acting in a commercial capacity and accepts these Terms, which prevail over Buyer’s purchasing terms unless we agree otherwise in writing.
2. Quotes, availability & prior sale
Catalog listings and quotes are invitations to do business, not binding offers. All inventory is offered subject to prior sale and subject to availability. Quantities are limited and often one-of-a-kind. A contract is formed only when Seller issues a written order confirmation. Quotes are valid for the period stated on them or, if none is stated, for fourteen (14) days.
3. Pricing
- Prices are quoted per unit in U.S. dollars (USD) and are exclusive of shipping, freight, insurance, and any applicable taxes or duties unless expressly stated.
- Prices are those in effect at the time Seller confirms the order and may change without notice before confirmation.
- Obvious typographical or pricing errors do not bind Seller, even after an order is placed.
- Applicable taxes are handled per our Tax & resale certificates policy.
4. Minimum order quantity
A minimum order value of $500 USD (excluding shipping and tax) applies unless otherwise agreed. Certain lots are sold only by the pallet, case, or in stated minimum quantities (“MOQ”) as noted on the quote. Volume pricing is available and confirmed per order.
5. Condition & grading
Goods are pre-owned, surplus, refurbished, or overstock unless expressly described as new. We inspect and assign a grade to each item; grades are our good-faith assessment and are indicative, not a guarantee of specific performance. Unless a quote states otherwise, goods are sold “as-is, where-is” with all faults. Cosmetic wear, minor blemishes, and missing accessories consistent with surplus stock are to be expected. 6. Warranty disclaimer
30-day defective-product guarantee. As an express, limited exception to the disclaimer in this section, if goods arrive defective or do not function as described, Buyer may return them within 30 days of delivery for a full refund, with return shipping paid by Seller. Normal signs of use such as minor cosmetic wear or minimal scratches consistent with the condition grade are not covered; material damage or a functional defect is. See Shipping & returns.
Except for the guarantee above and any further limited warranty expressly stated in writing on Seller’s order confirmation, and to the fullest extent permitted by applicable law:
THE GOODS ARE PROVIDED “AS-IS” AND “WITH ALL FAULTS.” SELLER DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Buyer is responsible for determining that goods are suitable for its intended use. Any manufacturer warranties, where they survive, pass through to Buyer to the extent transferable. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
7. Payment terms
- We sell on a prepayment basis only: the full invoice amount, including shipping and any applicable tax, is due in advance. Orders are dispatched only after payment has been received and cleared in full.
- We accept ACH/bank transfer. Bank and wire transfers must clear before dispatch.
- We do not offer credit terms, open accounts, or net payment terms.
- If payment is not received within the period stated on the quote or order confirmation, Seller may cancel the order and re-offer the goods, which remain subject to prior sale until paid in full.
8. Delivery & freight
Delivery dates are estimates. We ship nationwide via small parcel and freight carriers. Shipping is charged as a flat fee of $10–$100 depending on order volume and weight, confirmed on your quote. Shipping method, freight terms, and packaging are described in Shipping & returns. Seller is not liable for delays caused by carriers or events beyond its reasonable control.
9. Title & risk of loss
Unless the order confirmation states otherwise, goods are sold FOB Seller’s Inkster, MI location (or designated origin). Risk of loss passes to Buyer when the goods are delivered to the carrier. Title passes to Buyer upon Seller’s receipt of payment in full. Buyer is responsible for arranging or reviewing transit insurance where desired.
10. Inspection, shortages & claims
Buyer must inspect goods promptly on delivery. Claims for shortage, visible transit damage, or non-conformity must be submitted in writing within five (5) business days of delivery, with photos and the order reference; note visible damage on the carrier’s delivery receipt. Goods not rejected within this period are deemed accepted. Approved claims are handled as set out in Shipping & returns; as-is items are not returnable except where required by law or under our 30-day defective-product guarantee.
11. Limitation of liability
To the fullest extent permitted by applicable law, Seller’s total liability arising out of or relating to any order shall not exceed the amount paid by Buyer for the specific goods giving rise to the claim. Seller shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or business interruption, even if advised of the possibility. These limits do not apply to liability that cannot be limited under applicable law.
12. Governing law & forum
These Terms are governed by the laws of the State of Michigan, USA, without regard to its conflict-of-laws rules, and the U.N. Convention on Contracts for the International Sale of Goods does not apply. The parties submit to the exclusive jurisdiction of the state and federal courts located in Wayne County, Michigan, subject to any mandatory law and to confirmation by counsel.
If any provision is held unenforceable, the remaining provisions continue in effect. Seller may update these Terms; the version in effect when your order is confirmed applies to that order.
